The Board of Directors of Egetis Therapeutics AB (publ) (“Egetis” or the “Company”) (Nasdaq Stockholm: EGTX) has resolved on a directed share issue of in total 66,666,667 new ordinary shares at a subscription price of SEK 5.25 per share, corresponding to the closing price on Nasdaq Stockholm on April 21, 2026 (the “Directed Issue”), through which the Company receives SEK 350 million (approximately USD 38 million) before transaction costs. The Directed Issue was oversubscribed and included participation from new and existing investors, including U.S. biotech investors Frazier Life Sciences, Invus, Woodline Partners and Parkman Healthcare Partners, as well as Swedish biotech and long-only investors Linc AB, The Fourth Swedish National Pension Fund, Cidro Förvaltning AB (Peter Lindell), Unionen and other institutional investors.

The Board of Directors of Egetis has, as announced in the press release from the Company today, resolved on a directed share issue of in total 66,666,667 new ordinary shares at a subscription price of SEK 5.25 per share, consequently raising proceeds of SEK 350 million (approximately USD 38 million) before transaction costs. The new ordinary shares will be issued based on the authorization granted by the annual general meeting on April 14, 2026.
The subscription price in the Directed Issue was determined through an accelerated bookbuilding procedure led by Stifel as Sole Global Coordinator and, together with Van Lanschot Kempen and DNB Carnegie, as Joint Bookrunners, and was, accordingly, in the assessment of the Board of Directors set on market terms and conditions.
The Company intends to use the proceeds from the Directed Issue to primarily finance:
- the preparation of Emcitate® (tiratricol) commercialization in the U.S., including completing the build-up of the commercial and medical affairs infrastructure;
- the preparation of indication expansion into Resistance to Thyroid Hormone type beta (RTH-beta); and
- working capital and general corporate purposes.
The Company estimates that the net proceeds from the Directed Issue will be sufficient to meet the following key milestones, which are based on current assumptions and expectations and may not be achieved within the anticipated timeframes, or at all:
- Emcitate U.S. FDA decision date (PDUFA date) for the review of the New Drug Application (NDA) for Emcitate (September 28, 2026);
- Emcitate Priority Review Voucher subsequent issuance, if Emcitate is approved: September 28, 2026 or shortly thereafter. PRV monetization expected in Q4 2026; and
- Emcitate U.S. launch: expected in Q4 2026.
The Board of Directors of the Company deems, after an overall assessment and careful consideration, that a new share issue with deviation from the shareholders' preferential rights is a better alternative for the Company’s shareholders than a rights issue. A rights issue would entail significantly longer execution time and thereby increased market exposure and a higher potential risk of materially affecting the share price negatively, particularly in this volatile and challenging market, compared to a directed share issue. The cost of carrying out a directed share issue is deemed to be lower than in a rights issue. In addition, unlike a rights issue, the Directed Issue has broadened the shareholder base and provided the Company with new reputable institutional investors, which the Board of Directors believes will strengthen the liquidity of the shares and be beneficial to the Company.
The Directed Issue entails a dilution of approximately 13.7 percent of the number of shares and approximately 14.3 percent of the number of votes in the Company (calculated as the number of newly issued ordinary shares divided by the total number of shares and votes, respectively, in the Company after the Directed Issue). Through the Directed Issue, the total number of shares in the Company will increase by 66,666,667, from 424,161,938 to 490,828,605, of which 461,829,339 will be ordinary shares and 28,999,266 will be class C shares. The number of votes in the Company will increase by 66,666,667, from 398,062,598.6 to 464,729,265.6. The share capital will increase by approximately SEK 3,508,773 from approximately SEK 22,324,321 to approximately SEK 25,833,094.
In connection with the Directed Issue, the Company has agreed to a lock-up undertaking, with customary exceptions, on future share issuances for a period of 90 days after the settlement date of the Directed Issue. In addition, the shareholding members of the Board of Directors and members of the senior management have undertaken not to, subject to customary exceptions, divest any shares in the Company for a period of 90 days from the settlement date of the Directed Issue.
